License Agreement

This End User License Agreement (“Agreement”) is between you (“Licensee”) and Steely Systems, LLC. It governs your use of any SteelySystems indicator, strategy, template, sound pack or other software (the “Software”). By installing or using the Software you accept this Agreement.

1. License grant

Subject to your compliance with this Agreement and payment in full, Steely Systems, LLC grants you a non-exclusive, non-transferable, revocable license to use the Software for your own personal trading.

This is a per-user license. You may install and use the Software on any machine that you personally own or control — desktop, laptop, VPS — provided you are the only person using it. The license follows the person, not the machine. It does not extend to other traders, employees, business partners, or anyone else.

2. Restrictions

You may not:

  • share, sell, rent, lease, sublicense, lend, gift or otherwise transfer the Software or your license key;
  • publish, post or distribute the Software, in whole or in part, anywhere;
  • copy, decompile, disassemble, reverse-engineer, deobfuscate or derive source code from the Software;
  • circumvent, disable or tamper with licensing, activation or protection mechanisms;
  • create derivative works, or incorporate the Software into another product;
  • use the Software to operate a signal service, managed account, prop-firm seat pool, or any service that provides its output to third parties, without our prior written permission;
  • remove or alter any copyright, trademark or attribution notice.

3. License keys

Your license key is confidential and personal to you. You are responsible for keeping it secure. Sharing a key — publicly or privately — is a material breach of this Agreement and may result in immediate termination without refund.

4. Delivery & system requirements

The Software is delivered digitally. After purchase you receive your license key and an install guide by email, normally within minutes.

The Software requires NinjaTrader 8 (version 8.1.x) and a market data connection that supports the instruments you chart. Some features require additional NinjaTrader data or add-ons; any such requirement is stated on the relevant product page. You are responsible for obtaining and maintaining a compatible NinjaTrader installation and data subscription.

5. Updates & support

Updates released during your license term are provided at no additional charge unless a product page states otherwise. Email support is provided on a reasonable-efforts basis for installation, activation and intended use. Support does not include custom development, strategy design, or personalized trading guidance.

We may discontinue or modify a product, or end support for an older NinjaTrader version, at any time.

6. Term & termination

This Agreement takes effect on first installation and continues until terminated. It terminates automatically if you breach any term. On termination you must stop using the Software and remove all copies from every machine.

Sections 2, 7, 8, 9, 10, 11, 12 and 13 survive termination.

7. Ownership

The Software is licensed, not sold. Steely Systems, LLC and its licensors retain all right, title and interest in the Software, including all intellectual property rights. You receive only the rights expressly granted in Section 1. Custom work you pay us to build is the exception: see Section 13.

8. Nature of the Software

The Software is an analytical and educational tool. Signals, arrows, alerts, scores, levels, panels and any other output are analytical aids only — not trade instructions, not advice, and not a recommendation to buy or sell. You alone decide whether to act, and you bear the entire risk of every decision.

Where this site displays charts, signals, arrows, alerts, or any illustration of how a tool would have behaved, those illustrations are hypothetical and the following disclaimer applies:

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS, SOME OF WHICH ARE DESCRIBED BELOW. 9. No warranty

The Software is provided “as is” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Steely Systems, LLC does not warrant that the Software will be error-free or uninterrupted, that it will work with every NinjaTrader configuration, data feed or instrument, or that it will produce any particular outcome.

10. Limitation of liability

To the maximum extent permitted by law, Steely Systems, LLC will not be liable for any trading losses, lost profits, lost data, business interruption, or any indirect, incidental, special, consequential or punitive damages arising from the Software, even if advised of the possibility. Total aggregate liability is limited to the amount you paid for the Software.

11. Governing law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and the courts of Colorado have exclusive jurisdiction.

12. No streaming or sharing

Your access is personal. Without our prior written permission you may not stream, broadcast, screen-share, record for distribution, post or otherwise show to anyone else, live or recorded, publicly or privately:

  • Helix, or any of its screens, data or output;
  • your view of real-time market data together with the Software, Helix, DI Briefs or course materials;
  • the content of DI Briefs (including member-only briefs, PDFs and audio) or of any course, lesson, download or quiz.

Still screenshots of your own charts, posted for personal, non-commercial purposes, are allowed.

This section applies to Helix, DI Briefs and course materials as well as to the Software. Helix is not to be shared, streamed for others to view, or shared in any way other than by licensed users. Custom trading-floor or corporate licenses may be available: contact [email protected] for custom scenarios. Real-time market data is also licensed to you by your data provider and the exchanges, whose terms generally prohibit redistribution; you are responsible for complying with them.

13. Custom development

This section applies when you pay Steely Systems, LLC to build a custom indicator, NinjaTrader strategy or other custom item for you under a written quote (“Custom Work”).

  • Ownership. On payment in full, ownership of the Custom Work delivered to you passes to you. Steely Systems, LLC retains no ownership of the Custom Work.
  • No warranty. Custom Work is built to your specification and delivered “as is”. Steely Systems, LLC makes no representation or warranty that it will work as you intend, that it is free of errors, that it will work with every NinjaTrader configuration, data feed or instrument, or that it will produce any particular outcome. Sections 9 and 10 apply to Custom Work; total liability is limited to the amount you paid for it.
  • Your logic, your decisions. All logic, conditions, signals, arrows, alerts, sounds, levels and other output in Custom Work are specified by you and used at your sole discretion. Steely Systems, LLC does not represent that any of it is a trade signal or that it should be followed, and nothing in Custom Work is investment advice or a recommendation to buy or sell. You alone decide whether to act, including in live trading, and you bear the entire risk of every decision. Section 8 applies to Custom Work.
